Disclaimer & Standard Terms of Enrollment as an Artist with NEELSPY Entertainment Services

Acceptance of Terms

• Successful submission of the Artist enrolment form confirms that you agree to our standard terms of agreement to join NEELSPY Entertainment Services’ pool of artists and marks the commencement of contract between the agency ‘NEELSPY Entertainment Services’ (addressed as ‘Agency’) and the ‘Artist’ (addressed as ‘Artist’) in the document therefrom.
• Successful submission of the Artist enrolment form, in case of a minor Artist (below the age of 18 years on the date of enrollment) confirms that the Guardians/ Parents of the Artist (as mentioned in the enrollment form) have read the agreement and acknowledged that both we and our son/ daughter have entered into this agreement with an understanding of its terms and conditions listed below.

Appointee

• Artist hereby appoints the Agency to represent them in any and all forms regarding modeling, contracts, shows, and any other business matters related to their professional career.
• By allowing the Agency limited power of attorney, Agency will conduct agreements on behalf of model as well as provide signatures on any contracts and agreements on behalf of the Artist.

Compensation

• Successful submission of the Artist enrollment form received by clicking on the ‘Join Now’; or ‘Sign up’ or ‘Become a Member’ or ‘Apply Now’ or ‘Apply Now’ or any other button that takes you through a registration process on our website ‘neelspy.com’ or any other paper or online form shared via the registered mobile number, email address or any social media account of ‘NEELSPY Entertainment Services’ does not guarantee any business or monetary income or benefit. It is only a registration process to become a part of our pool of artists where your portfolio shall be presented to clients as an when a relevant collaboration opportunity arises.
• Artist agrees to pay the Agency a set percent of all monies, fees or other contributions received by Artist for any work receive from the agency.
• The Agency shall collect all monies and payments for jobs conducted under this term agreement and will retain agreed payment percentage from said funds, before transferring/ paying the Artist’s share to them.

Counsel

• Artist is hereby granted permission to seek counsel from Agency in any matter related to their professional career.
• Additionally, Artist recognizes that Agency requires full disclosure of Artist’s professional and personal affairs in order to provide the maximum positive impact on Artists career. Therefore, Artist agrees to seek counsel with Agency regarding any matters related to Artist’s career, including any potential professional projects.

Exclusive Rights

• The agency has been granted the exclusive right to use the Artist’s name, as well as all approved portraits and pictures in connection with the advertising and/ or publicity for the Artist.
• Agency may publicize that it is the exclusive personal manager for the Artist, as well as offer similar services to others in close regard to Artist without any breach of terms or contract.
  Artist agrees to update all contact cards, photographs, calendars and any other promotional items on a regular basis as agreed between parties.

Indemnification

• The Artist is responsible for him/ herself to ensure ones’ well being, health and safety while at work for the Agency or any client contracted with via the Agency.
• The Artist shall not be indemnified by the Agency or the Client in case of any loss, be in physical, mental, social, intellectual or monetary, incurred by the Artist, in case otherwise agreed in the specific terms of contract between the Client/ Agency and the Artist, on basis of the nature of work to be performed by the Artist.

Individual Contractor/ Companies

Model shall, for sake of taxes, state fees, and regulations be considered an individual contractor or company, as the case may be, and will be responsible for all payments of such fees made due.

Termination of contract

• Both parties may, through a written communication via email sent from the registered email address provided while filling the Artist enrollment form or on paper, sent via a registered mail duly signed by the artist, choose to discontinue the contract, provided there is no ongoing assignment that the artist is working on and there is no monetary due on part of either parties.
• In case of an ongoing assignment, the Artist has to fulfill the specific terms of agreement pertaining to termination of the contract with the client for which the Artist has been appointed.
• In case the Artist fails to fulfil the specific terms of agreement pertaining to termination of the contract with the client, a penalty of 100000/- (Rupees One Lakh Only) or the sum actual of total compensation agreed for the Artist for that particular assignment has to be paid by the Artist to the Agency.

Propriety

• The Artist will at all times conduct themselves with dignity and will do nothing considered unlawful during the term of this agreement.
• Furthermore the Artist will not partake in any actions that may impair the Artist’s capabilities to comply with the terms of this agreement.
• Artist further agrees to abide by all rules and regulations and conditions put into place by the agency or the Client the Artist is appointed for. Agency may terminate this agreement for breach of this paragraph. In addition, the breach may attract a legal and/ or monetary penalty as appropriate and basis the severity of the breach.

Covenant

• This Agency contract is in its entirety the complete agreement between parties. Under no conditions shall modification, alteration or amendment of any provisions contained herein be valid or binding unless in writing containing signatures from both parties involved.
• Furthermore, the Artist warrants that no other binding agreement is in force with any other party which would supersede this agreement.
